In my opinion, pragmatism is therefore an essential quality for an M&A solicitor, who must be able to offer their clients alternative solutions when the situation requires it, while remaining faithful to the values of transparency, collaboration and rigour.

What drives me?

I enjoy tackling the legal and relational challenges involved in negotiating and structuring transactions, particularly in an international context.
My pragmatic and tailor-made approach is based on close collaboration with my clients at every stage of the process of growing, buying or selling a business. By anticipating risks and structuring transactions (in particular in collaboration with our tax team), I ensure that the value of each transaction is secured and maximised.

Expertise

With over twenty years of experience in M&A and private equity, I assist my clients – companies, executives and investors – with their growth projects and complex legal transactions, particularly in an international context (assisting foreign investors with acquisitions of stakes in French companies / advising sellers or buyers in the sale of French companies to foreign buyers)..

My main areas of expertise:

  • Mergers and acquisitions: structuring transactions, negotiating legal terms, executing company sales or acquisitions;
  • Private equity: advising on private equity, fundraising and LBOs, OBOs, with structuring and management of shareholdings.
Recent transactions

Assistance to FCDE in connection with the sale of Didactic (a leading player in infectious risk prevention) to UI Investissement, Geneo Capital Entrepreneur, and its management team;
Assistance to Rise Up (a leader in professional training in Europe) in connection with the acquisition of Domoscio (a French expert in adaptive learning);
Advising the partners of Laboratoires Dencott (custom-made contact lenses, ocular prostheses) on its sale to the Japanese group Menicon;
Advising the holding company of several manufacturers of textiles, clothing and fashion accessories for men, women and children for the luxury industry on their acquisition by the Chanel B.V. group;
Assisting the partners of a French software publishing company in connection with its acquisition by an American competitor;
Advising KparK Groupe in connection with the acquisition of the energy renovation group EBS Energie;
Advising the partners of SAS 3DNatives, a platform specialising in 3D printing and its applications, on the American organisation specialising in the plastics industry SPE;
Advising the partners of Ponicode, an AI-based testing platform, on its sale to the American group CircleCI;
Assisting the founders of Rise Up in a Series B fundraising round with Connected Capital (Dutch fund) and existing investors.

Biography

Holds a Master’s degree in Private Law (University of Nantes), a Master’s degree in Business Law under the supervision of Professor Jacques Mestre (Institute of Business Law of Aix-en-Provence) and a Master’s degree in Tax Law under the supervision of Bernard Plagnet (University of Toulouse 1).
