M&A – Stock market law – Small & Mid cap – Shareholder relations

I support companies and their executives throughout their growth process, from creation to listing. Combining experience, foresight and global vision, I focus most of my activity on three areas:

  • Strategic development: advising executives of small and mid-cap companies – both listed and unlisted – on acquisitions, disposals and fundraising from private investors, including foreign investors where applicable, or in the context of market transactions
  • (Re)structuring of professional assets: LBO, LMBO and OBO transactions
  • Shareholder relations: organising relations between shareholders – integrating key managers into the capital structure – anticipating and managing conflict situations.
Recent operations 

Sale of a major Medtech player to Halma – a company listed on the London Stock Exchange Market;
Advising the founders of a leading organisational consulting firm in connection with an LBO conducted alongside a family office – implementation of a management package;
Acquisition of several management companies by an insurance group;
Sale to the BK Consulting group of a “specialised company” (employing at least 55% disabled workers) specialising in IT engineering services;
Advising Natexis Partners on an LBO of a listed company – takeover bid followed by a mandatory withdrawal – implementation of a management package;
Sale of a leading player in the PEGA market to Magellan Partners;
Structuring of relations between the shareholders of a group comprising some forty subsidiaries, each owned by a reference shareholder and minority shareholders – Series A and B fundraising;
Restructuring of the organisational chart of a listed group comprising several listed property investment companies (SIICs);
Creation of a joint venture between two leading players in real estate development;
Management of pre-litigation between shareholders: seeking amicable solutions while preparing – in conjunction with the litigation department – arguments to be put forward in the event of a potential dispute.
